Shield AI — The Sovereign Operating System for Creator Enterprises

1. Acceptance of Terms

By accessing or using Shield AI ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Shield AI Inc. ("Company," "we," "us," or "our").

2. Description of Service

Shield AI is a creator economy platform that provides:

Multi-platform revenue aggregation and analytics
AI-powered content protection and deepfake detection
Blockchain-based tokenization ($TWIN tokens)
Live shopping and commerce features
Creator DAO governance tools
NFT creation and marketplace access

3. Account Registration

To use certain features, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your password and account
Promptly update any changes to your information
Accept responsibility for all activities under your account
Be at least 18 years old or the age of majority in your jurisdiction

4. Subscription Plans and Payments

4.1 Subscription Tiers: We offer Free, Pro ($29/month), Premium ($79/month), and Enterprise (custom pricing) plans.

4.2 Billing: Subscriptions are billed monthly or annually. Payment is due at the start of each billing period.

4.3 Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

4.4 Refunds: We offer a 30-day money-back guarantee for first-time subscribers. Refunds are processed within 5-10 business days.

4.5 Price Changes: We may modify pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.

5. $TWIN Token Terms

5.1 Nature of Tokens: $TWIN tokens are utility tokens used within the Shield AI ecosystem. They are NOT securities and confer no ownership rights in the Company.

5.2 Token Uses: Tokens may be used for staking, governance voting, accessing premium features, and participating in the creator economy.

5.3 No Investment Advice: Nothing on this Platform constitutes financial, investment, or legal advice. Consult qualified professionals before making financial decisions.

5.4 Risks: Digital assets are volatile. You may lose some or all of your tokens. We are not responsible for market fluctuations or losses.

5.5 Staking: Staked tokens are locked for the specified period. Early withdrawal may result in penalties or forfeiture of rewards.

6. AI-Generated Content

6.1 AI Twins: You retain ownership of your likeness and content used to train AI models. By creating an AI twin, you grant us a license to process and generate content based on your data.

6.2 Content Watermarking: AI-generated content is watermarked in accordance with C2PA standards for authenticity verification.

6.3 Prohibited Uses: AI twins may not be used for deceptive practices, fraud, harassment, or any illegal activity.

6.4 Third-Party Content: You must have rights to any content used to train your AI twin. We are not responsible for copyright infringement resulting from unauthorized use.

7. Prohibited Conduct

You agree NOT to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Distribute malware or attempt to hack the Platform
Create deepfakes of individuals without consent
Engage in market manipulation or wash trading of tokens
Use the Platform for money laundering or terrorist financing
Circumvent rate limits or abuse API access
Scrape or harvest user data without authorization

8. Intellectual Property

8.1 Platform IP: Shield AI, our logos, and the Platform's design are our intellectual property. You may not use them without written permission.

8.2 Your Content: You retain ownership of content you create. By uploading content, you grant us a non-exclusive license to display, distribute, and process it within the Platform.

8.3 User Feedback: Feedback and suggestions you provide may be used to improve the Platform without compensation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIELD AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Shield AI, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

11.1 Governing Law: These Terms are governed by the laws of the State of Delaware, USA.

11.2 Arbitration: Any disputes shall be resolved through binding arbitration administered by JAMS in San Francisco, CA.

11.3 Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason with 30 days' notice. Upon termination, your right to use the Platform ceases immediately. Provisions regarding IP, liability, and dispute resolution survive termination.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
